Terms of Service
These Terms of Service ("Terms") govern your access to and use of the UmamiAI agentic platform (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.
1) Who we are
"UmamiAI" refers to the operator of the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2) Accounts and access
- You must provide accurate account information and keep it up to date.
- You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.
- Organization data is access-controlled (e.g., admin/member roles). Do not share access outside your organization without authorization.
3) The Service
The Service provides a control plane to configure and run AI agents and workflows, including optional retrieval-augmented generation (RAG), tool execution via allowlisted HTTP requests, approval gates, and audit trails.
Note: this repository is a scaffold. Your production deployment may differ based on configuration and connected providers.
4) AI features and outputs
- Outputs may be inaccurate. AI-generated content can be incomplete or wrong. You are responsible for reviewing outputs before relying on them.
- Tool actions (e.g., HTTP requests) are executed according to your configuration. Use allowlists, approvals, and least-privilege principles.
- Your content controls your risk. Avoid sending sensitive information unless you intend it to be processed by your configured model/provider.
5) API keys and webhooks
- API keys grant access to your organization’s resources. Keep keys secret, rotate them if exposed, and apply least privilege.
- We may rate-limit requests and suspend keys associated with abuse, excessive load, or suspected compromise.
- Webhooks are delivered to endpoints you provide. You are responsible for validating signatures and handling retries/timeouts.
6) Acceptable use
You agree not to:
- Use the Service in violation of law or for harmful, fraudulent, or abusive activity.
- Attempt to bypass security, probe for vulnerabilities, or access data not belonging to you.
- Upload malware or use tools/webhooks to distribute malicious payloads.
- Interfere with or disrupt the Service (e.g., excessive automated requests, denial-of-service).
- Reverse engineer the Service except to the extent permitted by law.
We may suspend or terminate access for violations, suspected compromise, or to protect the Service and other users.
7) Customer content
You retain ownership of the content you submit to the Service ("Customer Content"). You grant UmamiAI a limited license to host, process, transmit, and display Customer Content solely to provide and secure the Service.
You represent that you have the rights necessary to upload and process Customer Content, including any personal data. For details on data handling, see our Privacy Policy.
8) Third-party services
The Service may integrate with third-party providers (e.g., hosting, database, observability, and AI model providers). Third-party services are governed by their own terms and policies, and UmamiAI is not responsible for third-party outages or acts.
9) Fees (if applicable)
The Service may be offered as a free or beta experience, or as a paid subscription. If fees apply, we will present pricing and billing terms at checkout or in a separate order form.
If you do not yet use billing, you can keep this section as a placeholder until commercialization.
10) Intellectual property and feedback
UmamiAI and its licensors own the Service, including software, designs, and trademarks. Except as expressly permitted, you may not copy, modify, or distribute the Service.
If you provide feedback, you grant UmamiAI the right to use it without restriction or compensation.
11) Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMAMIAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
You acknowledge that AI outputs and automated tool actions may produce unexpected results. You are responsible for testing, validating, and supervising configurations before production use.
12) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMAMIAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMAMIAI’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO UMAMIAI FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $100 IF YOU HAVE PAID NOTHING).
13) Termination
You may stop using the Service at any time. We may suspend or terminate access for violations, suspected abuse, or as required to protect the Service. Upon termination, your right to use the Service stops.
14) Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which UmamiAI is established, without regard to conflict of law principles. Any disputes will be resolved in the courts located in that jurisdiction, unless applicable law requires otherwise.

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you. Continued use of the Service after the effective date means you accept the updated Terms.
